Service Provider Terms

1. Overview
These Service Provider Terms govern participation by professional service providers (“Providers”) on the Growbal platform.
Growbal LLC (“Growbal”) operates an AI-powered marketplace that connects entrepreneurs, investors, globally mobile individuals, businesses, and organizations with independent professional service providers.
By registering as a Provider, you agree to comply with these Terms and any additional agreements entered into with Growbal.
2. Independent Provider Status
Providers operate independently and are not employees, agents, representatives, partners, or affiliates of Growbal.
Providers are solely responsible for the services they offer, the advice they provide, and the outcomes of their engagements with clients.
3. Eligibility Requirements
To participate on the platform, Providers must:
- Be legally established and authorized to operate in their jurisdiction(s)
- Maintain all required licenses, registrations, certifications, and approvals
- Comply with applicable laws and professional regulations
- Provide accurate and up-to-date business information
- Maintain professional standards consistent with industry expectations
Growbal may request supporting documentation at any time.
4. Provider Profiles
Providers are responsible for ensuring that profile information, qualifications, service descriptions, pricing information, and credentials are accurate and not misleading.
Growbal reserves the right to remove inaccurate, misleading, unlawful, or inappropriate content.
5. Proposal Submission
Providers may receive requests for proposals, consultations, or service inquiries through the platform.
Providers are responsible for:
- Reviewing client requirements
- Conducting appropriate due diligence
- Determining suitability for engagement
- Preparing accurate proposals and pricing
Submission of a proposal does not create an obligation for a client to engage the Provider.
6. Professional Responsibility
Providers remain fully responsible for:
- Professional advice
- Regulatory compliance
- Client onboarding
- Know-Your-Customer (KYC) procedures
- Anti-Money Laundering (AML) obligations
- Service delivery
- Professional liability
Growbal does not supervise or control professional services delivered by Providers.
7. Fees and Subscriptions
Growbal may charge Providers for:
- Platform subscriptions
- Marketplace access
- Premium listings
- Marketing opportunities
- Enterprise partnerships
- Additional platform features
Applicable fees will be disclosed separately.
8. Client Relationships
Any engagement for professional services is entered directly between the Provider and the client.
Growbal is not a party to service agreements between Providers and clients and does not guarantee payment, engagement volume, or business opportunities.
9. Ratings and Performance Metrics
Growbal may display:
- Reviews
- Ratings
- Response times
- Proposal acceptance rates
- Quality indicators
- Service performance metrics
These metrics may influence marketplace visibility and rankings.
10. Confidentiality and Data Protection
Providers must protect all client information obtained through the platform and use such information solely for legitimate business purposes related to the requested services.
Providers must comply with applicable privacy and data protection laws.
11. Prohibited Conduct
Providers may not:
- Misrepresent qualifications or licensing status
- Submit fraudulent information
- Engage in unlawful conduct
- Circumvent platform policies
- Harass users
- Use client information for unauthorized marketing
- Violate applicable laws or regulations
12. Suspension and Removal
Growbal reserves the right to suspend, restrict, or terminate Provider access where it reasonably believes that:
- Regulatory requirements are not met
- Professional standards are not maintained
- User safety or trust may be compromised
- Platform policies have been violated
- Fraudulent or misleading conduct has occurred
13. Limitation of Liability
Growbal provides marketplace and technology services only.
To the fullest extent permitted by law, Growbal shall not be liable for disputes, losses, claims, regulatory actions, or damages arising from services provided by independent Providers.
14. Amendments
Growbal may update these Terms periodically. Continued use of the platform following publication of updated Terms constitutes acceptance of such changes.
